Terms of Service

These Terms of Service ("Terms") govern your access to and use of FixDesk AI (the "Service"), provided by FixDesk AI ("FixDesk AI", "we", "us", or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

FixDesk AI is an AI-powered IT help desk that lets employees describe office IT issues in plain English and receive step-by-step troubleshooting guidance. The Service includes a knowledge base, ticket escalation, and administrative analytics. Functionality varies by subscription plan.

2. Accounts

You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3. Acceptable use

You must not misuse the Service. In particular, you must not:

  • use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • send spam, conduct fraud, or impersonate any person or organization;
  • infringe any third party's intellectual property, privacy, or other rights;
  • introduce malware, probe, scan, or otherwise attempt to compromise the security of the Service;
  • scrape, harvest, or reverse engineer the Service or its underlying models;
  • resell, sublicense, or redistribute the Service without our written consent;
  • circumvent usage limits, rate limits, or other technical restrictions.

4. AI-generated content

The Service uses generative AI to produce troubleshooting guidance from your input. You acknowledge and agree that:

  • You are responsible for the prompts and information you submit, including any screenshots or attachments, and for verifying you have the rights to share them.
  • You are responsible for how you use AI outputs and for verifying their accuracy before acting on them.
  • AI outputs may be inaccurate, incomplete, or out of date and are not a substitute for professional advice. Do not rely on AI outputs for actions that risk data loss, account security, regulated compliance decisions, or anything outside ordinary end-user troubleshooting without independent verification.
  • You will not use the Service to generate illegal content, deepfakes, hate speech, harassment, malware, or jailbreaks of underlying models, or to attempt to extract confidential information about the models or other users.
  • You retain rights in your inputs. You grant us a limited, non-exclusive licence to host, process, and transmit your inputs solely to operate and improve the Service.
  • If a rights holder believes content on the Service infringes their rights, they may contact us at the address below to request a takedown. We may remove or restrict content, refuse or filter outputs, and suspend accounts for repeated infringement or abuse.

5. Intellectual property

The Service, including all software, models, branding, and documentation, is owned by FixDesk AI and its licensors and is protected by intellectual property laws. Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes. No other rights are granted by implication or otherwise.

6. Payment and subscriptions

Paid plans are billed in advance on a recurring basis. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy.

7. Service availability

We work to keep the Service available, but we do not warrant that it will be uninterrupted, error-free, or secure, or that defects will be corrected. We may modify, suspend, or discontinue features at any time.

8. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, for: material breach of these Terms; non-payment; suspected security or fraud risk; or repeated or serious policy violations. You may cancel your subscription at any time via the Manage Billing portal; access continues until the end of your current paid period. On termination, your right to use the Service ends and we may delete your data after a reasonable period.

9. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

10. Limitation of liability

To the fullest extent permitted by law, FixDesk AI's aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees paid by you to us in the 12 months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.

11. Indemnity

You agree to indemnify and hold harmless FixDesk AI from any claim arising out of your content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

12. Changes to the Service or Terms

We may update these Terms from time to time. If we make material changes we will notify you in-app or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which FixDesk AI is established, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory law provides otherwise.
